Bit Digital requests withdrawal of unused 2021 Form F-3 registration
On September 2, Bit Digital, Inc. (Nasdaq: BTBT) filed a Form RW (registration withdrawal request) asking the Securities and Exchange Commission to consent under Rule 477 of the Securities Act of 1933 to withdraw its Registration Statement on Form F-3, File No. 333-257934, initially filed July 15, 2021, together with exhibits and amendments. The letter, signed by chief financial officer Erke Huang, states that no securities were sold under that registration statement and asks, under Rule 457(p), that filing fees paid with it be credited for future use. The company issued no accompanying press release on its news feed. Separately the same afternoon, Form 4 filings reported that chief executive Samir Tabar and Huang each converted 535,000 performance-based restricted stock units into ordinary shares on August 31; those are ownership reports, not a capital raise.
Why it matters
Withdrawing an unused foreign-issuer shelf cleans an old registration off the docket and does not, by itself, raise cash or change campus, power, or customer status.

Risks
- The filing does not disclose whether a newer effective shelf remains available for future registered sales.
- No securities were sold under the withdrawn F-3; fee credit is administrative.
