Shelf paper is not a raise. It is permission.
TeraWulf’s S-3ASR and IREN’s 424(b) supplements are capacity documents. Treating them as priced offerings is how the week gets marked wrong.
Summary
TeraWulf’s April automatic shelf (333-295042) and the 424(b)(5) supplements that followed it are still the live equity-capacity paper. IREN’s August 4 424B7 sits on file 333-284369. CoreWeave has its own June S-3ASR. None of these filings, by themselves, is an overnight sale. An ATM can print for months in the background. A 424(b) can also be a one-day take-down. The form does not tell you which until you read it — and even then, size is often a maximum.
Why it matters
This coverage set finances like a development pipeline: shelves, ATMs, converts. Dilution risk is real. Inventing a share count or a dollar raise from a shelf header is how a briefing becomes a rumor.
